    According to a Forrester survey, 68% of enterprise marketing teams now use generative AI tools in commercial creative production. Yet fewer than one in five have documented who bears liability when that AI-generated asset triggers an IP claim, a defamation suit, or an FTC enforcement action. The gap between adoption speed and legal preparedness is the single biggest operational risk in AI-generated ad creative liability right now — and it’s widening every quarter.

    Three Tools, Three Terms of Service, Three Liability Profiles

    Brands treat ChatGPT, Adobe Firefly, and Runway as interchangeable “AI tools.” They’re not. Each platform structures intellectual property ownership, indemnification, and usage rights differently, and those differences cascade through your entire liability chain.

    OpenAI (ChatGPT / DALL·E): OpenAI’s enterprise terms assign output ownership to the user and include an indemnity shield for Enterprise and Team tier customers — but only if the content was generated without violating usage policies. Feed the model a competitor’s trademarked tagline as a prompt? That indemnity may evaporate. Review OpenAI’s commercial terms carefully; the carve-outs matter more than the headline promise.

    Adobe Firefly: Adobe has taken the most brand-friendly position. Firefly models are trained exclusively on licensed Adobe Stock content, openly licensed material, and public-domain works. Adobe offers IP indemnification for Firefly outputs generated through paid Creative Cloud plans. That’s a meaningful differentiator — but it doesn’t cover downstream modifications you make in Photoshop or After Effects using non-Firefly assets.

    Runway: Runway’s terms grant users rights to outputs, yet the platform’s indemnification language is narrower. Video generation models introduce additional complexity: a single Runway clip might inadvertently reproduce a recognizable face, a copyrighted architectural design, or a trademarked product. The liability for publishing that clip sits with you, not Runway.

    Indemnification from an AI vendor is not insurance. It’s a contractual promise whose enforceability depends on your compliance with that vendor’s terms — terms most creative teams have never read.

    Where the Chain Actually Breaks

    Think of commercial creative production as a pipeline: prompt engineering → generation → editing → legal review → approval → publication. Liability doesn’t attach at a single point. It accumulates.

    Here’s what that looks like in practice:

    1. The prompt writer shapes output. If a junior strategist prompts ChatGPT to “write copy in the style of Apple’s Think Different campaign,” the resulting text may constitute trade dress infringement. The prompt itself is a creative decision with legal consequences.
    2. The AI tool generates output that may contain hallucinated claims, unlicensed visual elements, or biometric data of real people. Vendors’ indemnities — where they exist — often exclude known-risk use cases like pharmaceutical claims or financial guarantees.
    3. The editor who composites a Firefly background with a Runway video clip creates a derivative work whose IP provenance is now mixed. Adobe’s indemnity covers the Firefly portion; Runway’s terms may not extend to the composite.
    4. The approver — typically a brand manager or creative director — becomes the human checkpoint. Under current FTC enforcement guidance, the entity that publishes a deceptive ad bears primary liability regardless of how the creative was produced.
    5. The publisher/platform distributes the ad. Meta, TikTok, and Google each have AI-disclosure requirements that, if violated, create additional regulatory exposure.

    The Human Approval Bottleneck Is Not a Legal Shield

    Many brand legal teams operate under a comforting assumption: if a human reviews and approves the AI-generated asset, liability is managed. That assumption is dangerous for three reasons.

    First, human reviewers can’t detect IP contamination at scale. A copywriter might not recognize that a ChatGPT-drafted headline echoes a registered slogan. A designer might not realize a Firefly image closely mirrors a copyrighted photograph from a Getty Images portfolio. The AI doesn’t flag these overlaps. Neither does most internal review software.

    Second, approval workflows create documented knowledge. If you have a sign-off chain showing a brand manager approved an asset that later proves infringing, that signature becomes evidence of willful publication — which can triple statutory damages under the Copyright Act.

    Third, speed kills diligence. The entire point of using generative AI in creative production is velocity. Teams running 50–100 AI-generated variants per campaign simply cannot apply the same legal scrutiny they’d give a single agency-produced hero asset. The math doesn’t work.

    This creates a paradox: AI accelerates production but demands more legal infrastructure, not less. Brands that haven’t reconciled this tension are carrying undocumented risk on every campaign.

    Building a Liability Map That Actually Works

    Forget generic AI policies. What you need is a tool-specific, role-specific liability map. Here’s a framework we’ve seen work at mid-market and enterprise brands:

    Step 1: Audit your AI stack. Catalog every generative tool in use — sanctioned and unsanctioned.     • Low risk: Text-only social content, internal drafts. Self-certification by the creator plus automated plagiarism scan.
    • Medium risk: Display ads, static imagery, email creative. Requires creative director sign-off plus IP-scan tooling like Copyscape or TinEye.
    • High risk: Video ads with synthetic humans, influencer likeness, regulated industry claims, or cross-border distribution. Mandatory legal review with documented clearance.

    Step 4: Contractually close the gaps. Your agency contracts and freelancer agreements likely predate generative AI. Update them. Specify which AI tools are permitted. Require prompt logs. Include representations that AI-generated deliverables don’t infringe third-party IP — and make those representations survive termination.

    What Regulators Are Actually Watching

    The FTC has made clear through multiple enforcement actions and guidance updates that AI-generated advertising claims receive no special treatment. A false health claim is a false health claim whether a copywriter or ChatGPT wrote it. The UK’s Information Commissioner’s Office is equally focused on AI-generated content that processes personal data — including synthetic faces that resemble real individuals.

    The EU AI Act, now in phased enforcement, classifies certain advertising applications as limited-risk systems requiring transparency disclosures. If your Runway-generated video ad runs in EU markets without proper AI-disclosure labeling, you’re facing potential fines under Article 52 obligations.

    Practically, this means your compliance team needs to track not just what was generated but how and where it’s distributed. Brands using AI in influencer content face additional scrutiny around creator likeness rights — particularly when synthetic media blurs the line between authentic endorsement and fabricated testimony.

    Insurance, Indemnity, and the Gaps Between Them

    Most commercial general liability policies and media liability policies were written before generative AI existed. That matters. If a Firefly-generated image in your paid social campaign triggers a copyright claim, your E&O policy may exclude AI-generated content — or your insurer may argue the AI vendor’s indemnity is the primary coverage.

    Adobe’s indemnity is meaningful but capped and conditional. OpenAI’s is enterprise-tier only. Runway’s is thin.

    Smart brands are doing two things right now: first, getting written confirmation from their insurance carriers that AI-generated commercial content is covered under existing policies; second, negotiating AI-specific riders where it isn’t. The cost is modest compared to uninsured exposure on a single campaign.

    If your AI stack includes tools that train on third-party data, your exposure extends beyond IP into privacy law — a domain where penalties are calculated per violation, per user, and where damages compound fast.
